Declaration Arms & Munitions LLC

IMPORTANT - READ CAREFULLY: These Terms of Service (“TOS”) establish a legal agreement between you and Declaration Arms & Munitions LLC, a Delaware limited liability company (“Declaration”, “we”, “us”, or “our”) governing your access to and use of any Declaration website, online platform, dealer portal, mobile application, software, or any other products or services offered by Declaration (collectively, the “Declaration Services”).

BY ACCESSING OR USING THE DECLARATION SERVICES, YOU AGREE TO BE BOUND BY THESE TOS. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS HEREIN, YOU MAY NOT ACCESS OR USE THE DECLARATION SERVICES.

The Declaration Services are offered only to individuals who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using the Declaration Services, you represent and warrant that you are of legal age to form a binding contract with Declaration and meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Declaration Services.

If you are a Federally Licensed Firearms Dealer (“FFL”) participating in the Declaration network of authorized dealers (“Dealer”), you are also subject to the separate Declaration Dealer Agreement and Dealer Terms of Use, which are incorporated herein by reference and available in the Dealer Portal.

1. Ownership and Limited License

The Declaration Services are protected by copyright, trademark, and other intellectual property laws. The Declaration Services are licensed, not sold, to you. Declaration and its licensors retain all ownership and intellectual property rights in the Declaration Services. Subject to your compliance with these TOS, Declaration grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Declaration Services solely for your personal or internal business purposes in connection with the lawful purchase, sale, transfer, or management of firearms, ammunition, accessories, and related products and services offered through the Declaration Services.

2. Use Restrictions

You may not:

• Modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Declaration Services;
• Rent, lease, lend, sell, redistribute, sublicense, or provide commercial hosting services using the Declaration Services;
• Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Declaration Services;
• Use the Declaration Services for any illegal purpose or in violation of any federal, state, or local laws, including but not limited to all applicable firearms, ammunition, and export control laws and regulations;
• Use the Declaration Services to engage in the unlawful transfer, sale, or distribution of firearms, ammunition, or related items;
• Attempt to gain unauthorized access to any portion of the Declaration Services or any related systems or networks.

Declaration may terminate or suspend your access to the Declaration Services immediately, without prior notice or liability, for any reason, including if you breach these TOS.

3. Firearms-Specific Compliance Obligations

You acknowledge and agree that all use of the Declaration Services in connection with firearms, ammunition, or NFA items must strictly comply with:

• The Gun Control Act of 1968 (GCA)
• The National Firearms Act (NFA)
• The Arms Export Control Act (AECA)
• All regulations of the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF)
• The International Traffic in Arms Regulations (ITAR)
• The Export Administration Regulations (EAR)
• All applicable state and local laws

You are solely responsible for verifying the eligibility of any buyer or transferee, completing all required ATF forms (including Form 4473), conducting NICS background checks when required, and maintaining all records as mandated by law. Declaration is not a firearms dealer and does not take possession of or transfer firearms. Declaration provides only technology services and assumes no liability for your compliance with firearms laws.

4. Export and ITAR Compliance

The Declaration Services and certain technical data contained therein may be subject to U.S. export control laws, including ITAR (22 CFR Parts 120–130) and EAR. You agree not to export, re-export, or transfer, directly or indirectly, any regulated items or technical data received through the Declaration Services to any country, entity, or person prohibited by U.S. export laws and regulations.

5. User Content and Data

You are solely responsible for any information, data, or content you upload, submit, or transmit through the Declaration Services. You represent and warrant that all such content is accurate, complete, and complies with all applicable laws. You grant Declaration a worldwide, royalty-free, irrevocable license to use, store, and process such content as necessary to provide the Declaration Services.

6. Confidentiality and Feedback

Information disclosed to you through the Declaration Services that is marked or reasonably understood to be confidential shall be treated as confidential. Any suggestions, ideas, or feedback you provide regarding the Declaration Services (“Feedback”) may be used by Declaration without restriction or compensation to you.

7. Warranty Disclaimer

THE DECLARATION SERVICES ARE PROVIDED “AS IS” AND “WITH ALL FAULTS” WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. DECLARATION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECLARATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE DECLARATION SERVICES; OR (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES.

IN NO EVENT SHALL DECLARATION’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF ONE HUNDRED DOLLARS ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Declaration and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these TOS or any applicable law, including firearms laws.

10. Governing Law and Jurisdiction

These TOS shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

11. Miscellaneous

These TOS constitute the entire agreement between you and Declaration regarding the Declaration Services. Declaration may modify these TOS at any time by posting the revised terms on the Declaration website. Your continued use of the Services after such changes constitutes acceptance of the new terms.

If any provision of these TOS is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

You may not assign these TOS without Declaration’s prior written consent. Declaration may assign these TOS without restriction.
